Commercial terms
These terms apply to all wholesale orders accepted by Mbote Djambo LLC unless varied in writing on the order confirmation.
We sell to registered businesses purchasing for resale. An account must be verified before pricing is released. We may decline or close any account at our discretion, including where an entity, EIN or resale certificate cannot be verified.
Minimum order is 10 units per item unless the price sheet states a higher minimum or a fixed case pack. Case pack quantities may not be broken. Minimum order value is set per account and stated on your price sheet.
Prices are quoted per unit, exclusive of freight and applicable taxes, and are valid for the period stated on the price sheet. All quotations are subject to prior sale and to availability confirmed at the time we accept your purchase order. We are not obliged to honor a price published in error.
Orders are placed by purchase order referencing the current price sheet. A purchase order is an offer to buy. A contract is formed only when we issue an order confirmation or proforma. We may accept an order in part.
New accounts prepay in full before shipment. We accept ACH, domestic wire and major credit cards. Card payments carry a processing surcharge stated on the proforma. We do not accept cash, personal peer to peer transfers, or payment from an account in a name other than the buying entity.
Net terms are not offered on a first order. Terms are considered only after a documented order history and a completed credit application. Overdue balances accrue interest at 1.5% per month or the maximum permitted by law, whichever is lower.
Buyers must provide a current resale certificate for their state. Where no valid certificate is on file we will charge applicable sales tax. The buyer is responsible for all other taxes, duties and levies arising from the sale or resale of goods.
Unless stated otherwise, goods are sold Ex Works our Florida facility. Freight is quoted per order and billed at cost plus handling, or the buyer may arrange collection on their own carrier account. Title and risk of loss pass to the buyer on delivery of goods to the carrier.
Delivery dates are estimates. We are not liable for loss arising from delay. Where an item is short at the time of picking we will notify the buyer before invoicing and either hold, substitute with written consent, or cancel the line and refund it.
The buyer must inspect goods on receipt. Claims for shortage, damage or non conforming goods must be made in writing within 7 calendar days of delivery, with photographs and the invoice number. Concealed damage claims outside that window are handled at our discretion. Carrier damage must also be noted on the delivery receipt at the time of receipt.
Returns require a written return authorization number issued by us before goods are shipped back. Authorized returns must be received within 14 days of the authorization date, in original unopened case packs, in resalable condition. Authorized returns are subject to a 20% restocking charge plus return freight. We do not accept returns of opened, marked, relabeled or repackaged goods, of clearance or closeout items, or of goods sold as short dated.
Goods are supplied as received from our suppliers in original manufacturer packaging unless expressly described otherwise on the invoice. The buyer is responsible for verifying that its intended resale channel, listing, labeling and any required licenses or registrations are lawful and permitted for the goods purchased. Nothing in a sale by us grants the buyer any brand authorization, license, distribution right or permission to use any trademark.
Goods are sold with such manufacturer warranty as attaches to them, which we pass through to the buyer where transferable. We give no other warranty, express or implied, and to the extent permitted by law all implied warranties including merchantability and fitness for a particular purpose are excluded.
Our total liability arising out of or in connection with any order is limited to the invoiced value of the goods giving rise to the claim. We are not liable for indirect, incidental, special or consequential loss, including lost profits, lost sales, marketplace suspension or account action of any kind.
Each shipment is issued a sequentially numbered invoice referencing the buyer's purchase order, together with tracking or a bill of lading. We retain the purchase order, invoice, payment record and shipping document for each order and will produce them on reasonable request by the buyer.
We do not issue invoices, receipts or other documentation for goods that have not been ordered, paid for and shipped. We do not alter, backdate or reissue documents to state anything other than the transaction as it occurred. Requests to do so will be declined and the account closed.
We are not liable for failure or delay in performance caused by events beyond our reasonable control, including supplier failure, carrier disruption, labor action, severe weather, fire, or acts of government.
These terms are governed by the laws of the State of Florida, and the parties submit to the exclusive jurisdiction of the state and federal courts located in Florida.
These terms, together with the order confirmation and price sheet, are the entire agreement between the parties and supersede any prior discussion. Any buyer terms printed on a purchase order or other document are expressly rejected and have no effect. Variation is valid only in writing signed by an authorized representative of Mbote Djambo LLC.
